1. Definitions and Interpretation
1.1 In these Terms and Conditions, the following words and expressions have the meanings set out below:

| "Investor" | A User who has completed KYC verification and made one or more investments through the Platform. |
| "Investment" | Any financial commitment made by an Investor through the Platform in connection with a listed property opportunity. |
| "Property" | A real estate asset listed on the Platform for fractional investment. |
| "Project Agreement" | The agreement entered into between BrikkShare and an Investor in respect of a specific Investment in a Property. |
| "Investment Certificate" | The document issued to an Investor evidencing their interest in a specific Investment. |
| "Returns" | Income, capital appreciation, or other financial benefit generated from or in connection with a Property. |
| "KYC" | Know Your Customer — the identity and due diligence verification process required before an Investor may invest. |
| "Wallet" | The digital account maintained on the Platform reflecting the User's available balance and investment activity. |
| "Business Day" | Any day (other than Saturday, Sunday, or Nigerian public holiday) on which banks are open for business in Lagos. |
| "NDPA" | The Nigeria Data Protection Act 2023. |
| "Applicable Law" | All applicable laws, regulations, guidelines, and codes of practice of the Federal Republic of Nigeria. |
1.2 References to a "clause" or "section" are references to a clause or section of these Terms. Headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa. References to "writing" include electronic communications.
2. About the Platform and Our Services
2.1 BrikkShare is a digital property investment platform that enables individuals and institutions to invest in verified real estate assets through a structured, transparent process. The Platform facilitates fractional investment in professionally vetted properties and provides investors with tools to track performance and manage their portfolios.
2.2 BrikkShare acts as the platform operator and investment facilitator. It does not act as your financial advisor, investment manager, portfolio manager, or legal advisor. Nothing on the Platform constitutes financial, investment, legal, or tax advice. You are solely responsible for your investment decisions.
2.3 BrikkShare is incorporated under the Companies and Allied Matters Act 2020 and operates in compliance with applicable Nigerian law. Where BrikkShare is required to be licensed or registered with a regulatory authority in connection with its activities, the relevant registration details will be disclosed on the Platform.
3. Eligibility and Account Registration
3.1 Eligibility Requirements
To register an account and invest through the Platform, you must:
- a) Be at least 18 years of age at the time of registration
- b) Be a natural person or a duly incorporated and validly existing legal entity
- c) Have the legal capacity to enter into binding contracts under Nigerian law
- d) Not be a Prohibited Person as defined in clause 3.4 below
- e) Successfully complete BrikkShare's KYC verification process
- f) Not be accessing the Platform from a jurisdiction where doing so is prohibited by law
3.2 Registration Process
a) To create an account, you must provide accurate, complete, and current information as requested during the registration process. You agree to update your information promptly if it changes. BrikkShare reserves the right to reject any application for registration without giving reasons.
b) You are responsible for maintaining the confidentiality of your account credentials. You must not share your login details with any other person. You are liable for all activity that takes place under your account, whether or not authorised by you. If you suspect unauthorised access to your account, you must notify BrikkShare immediately at support@brikkshare.com
c) Before you may make any Investment through the Platform, you must successfully complete our KYC verification process. This requires you to submit identity documents, provide your BVN and/or NIN, and complete any other verification steps required by BrikkShare or our identity verification partners.
d) BrikkShare may, in its absolute discretion, decline to verify or re-verify any User, suspend a User's account pending re-verification, or terminate a User's account if satisfactory verification cannot be obtained. BrikkShare is not required to give reasons for such decisions where prohibited from doing so by law or its anti-money laundering obligations.
3.4 Prohibited Persons
You may not register an account or invest through the Platform if you are:
- a) A minor (under the age of 18)
- b) A Politically Exposed Person (PEP), unless you have disclosed this status during registration and BrikkShare has approved your account
- c) A person or entity subject to sanctions imposed by the United Nations, the United States Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, or any other applicable sanctions authority
- d) A person who has been convicted of a financial crime, money laundering, fraud, or any offence involving dishonesty under the laws of any jurisdiction
- e) An entity whose beneficial owners include any of the above
4. Investment Process and Structure
4.1 Property Listing and Due Diligence
a) All properties listed on the Platform have undergone BrikkShare's multi-layer verification process, which includes legal due diligence, title verification, independent or market-aligned valuation, developer credibility assessment, and compliance checks. BrikkShare makes no representation or warranty that a listed property will achieve any particular level of return or that the verification process will identify all risks associated with a property.
b) The information provided on the Platform about each listed property is for general informational purposes only. It is not a prospectus, offer document, or invitation to treat. You are encouraged to conduct your own independent assessment of any property before investing.
4.2 Making an Investment
a) To make an Investment, you must fund your Wallet and select a listed property opportunity. By confirming an Investment, you are entering into a binding commitment to invest the specified amount on the terms set out in the relevant Project Agreement and these Terms. You should read the Project Agreement carefully before confirming your Investment.
b) BrikkShare will issue you a Purchase Contract Note upon successful completion of your Investment. ThePurchase Contract Note is an acknowledgment of your investment and the terms attaching to it. Unless expressly stated otherwise in the relevant Project Agreement, thePurchase Contract Note is not a negotiable instrument and does not constitute a transferable security.
c) The minimum investment amount is ₦500,000,(Five Hundred Thousand Naira) subject to variation for specific opportunities as disclosed on the Platform. BrikkShare may, from time to time and at its discretion, offer lower thresholds on selected opportunities.
4.3 Investment Structure
a) The legal structure of each Investment is as set out in the relevant Project Agreement. Depending on the property and investment opportunity
4.4 Investment Plans
a) BrikkShare may offer different investment plans with varying terms including tenor, minimum investment amount, projected return range, and payout frequency. The full commercial terms of each available plan are disclosed on the Platform before you invest. By selecting a plan and confirming your Investment, you agree to the specific terms of that plan.
b) Investment plans may be subject to early exit penalties as disclosed. BrikkShare reserves the right to introduce, modify, or discontinue investment plans at any time. Changes to available plans will not affect Investments already made unless otherwise stated in the relevant Project Agreement.
5. Returns, Payouts, and Financial Matters
a) Nature of Returns
i. Returns on your Investment may be generated through developmental income (income derived from the increase in value of a property as development progresses), capital appreciation (increase in the value of the property over time), or rental income (where the property generates rental income), depending on the specific opportunity.
5.2 Payout Schedule
5.2.1 Where returns are generated, BrikkShare will distribute them to Investors in accordance with the payout schedule set out in the relevant Project Agreement. Depending on the asset type, payouts may be made weekly or monthly directly to your Wallet. BrikkShare will notify you of each payout through the Platform.
5.2.2 BrikkShare will deduct applicable platform fees, management fees, and any withholding tax required by law from returns before distribution. The basis on which fees are deducted is set out in the Platform Fee Disclosure Schedule, which forms part of these Terms and is published on the Platform.
5.3 Wallet and Withdrawals
a) Your Wallet reflects your available balance, including uninvested funds and received payouts. You may withdraw available funds from your Wallet to your registered Nigerian bank account at any time, subject to any minimum withdrawal thresholds stated on the Platform.
b) Withdrawals are processed within [3–5] Business Days of a valid withdrawal request. BrikkShare is not liable for delays caused by your bank or payment processor.
5.4 Taxes
a) You are solely responsible for all tax obligations arising from your Investments, including any income tax, capital gains tax, or withholding tax payable under Nigerian or applicable foreign law.
b) BrikkShare will deduct withholding tax at source where required by Nigerian law .
6. Investment Exit
a) Real estate investment is inherently medium- to long-term in nature. All investments made through the Platform have a minimum holding period of 180 days. You may not exit an Investment before the expiry of the 180-day minimum holding period. Where BrikkShare, in its discretion, permits an early exit prior to the expiry of the 180-day minimum holding period, you will forfeit all accrued interest on your Investment and a nominal early termination fee will apply.
b) After the 180-day minimum holding period has elapsed, you may request an exit from your Investment by submitting an exit request through the Platform. Exit options available to you will depend on the specific property, market conditions, and the structure of your Investment, and may include:
- i. Holding your Investment through the full lifecycle of the property until sale or disposition
- ii. Participating in a structured exit event organised by BrikkShare, such as a property sale or portfolio rebalancing
c) Early exit before the 180-day minimum holding period, or exit in circumstances not provided for in your Project Agreement, may be subject to an early exit fee as disclosed on the Platform. BrikkShare reserves the right to decline an exit request where doing so would be contrary to the interests of other investors in the same property.
7. Auto-Invest Feature
a) BrikkShare may offer an Auto-Invest feature that automatically deploys funds from your Wallet into listed property opportunities based on parameters you set. By activating Auto-Invest, you authorise BrikkShare to make Investments on your behalf within the parameters specified.
b) Before activating Auto-Invest, you must confirm that you have read and understood these Terms, the risk disclosures applicable to fractional real estate investment, and the specific Auto-Invest terms disclosed on the Platform at the time of activation.
c) You may pause or cancel Auto-Invest at any time through your account settings. Cancellation will take effect for future deployment of funds. Funds already committed to a specific Investment through Auto-Invest are subject to the terms of the relevant Project Agreement and the minimum holding period.
d) BrikkShare does not guarantee that Auto-Invest will achieve any particular return. BrikkShare's liability in connection with Auto-Invest selections is limited to the same extent as its liability for any other Investment on the Platform, as set out in clause 13.
8. Fees and Charges
a) BrikkShare charges fees in connection with the use of the Platform and certain investment activities. All applicable fees are set out in the Platform Fee Disclosure Schedule, which is published on the Platform and incorporated into these Terms by reference.
b) BrikkShare reserves the right to introduce new fees or vary existing fees on not less than 30 days' written notice to Investors. Changes to fees will not apply retrospectively to Investments already made.
c) The following general fee categories may apply:

All fees are inclusive of applicable VAT where required by Nigerian tax law, unless otherwise stated.
9. Use of the Platform
a) Permitted Use
You may use the Platform solely for lawful purposes and in accordance with these Terms. You agree to use the Platform only to browse investment opportunities, make Investments, manage your portfolio, and communicate with BrikkShare. You must not use the Platform for any commercial purpose not expressly authorised by BrikkShare.
b) Prohibited Conduct
You must not, in connection with your use of the Platform:
- i. Provide false, misleading, or fraudulent information at any stage
- ii. Use the Platform to launder money, finance terrorism, or engage in any illegal activity
- iii. Attempt to access any part of the Platform for which you are not authorised
- iv. Introduce malware, viruses, or any other harmful code to the Platform
- v. Reverse-engineer, decompile, or disassemble any part of the Platform
- vi. Use automated tools, bots, or scrapers to access, collect, or process data from the Platform without prior written consent
- vii. Infringe any intellectual property right of BrikkShare or any third party
- viii. Defame, harass, or threaten BrikkShare staff or other users
c) Platform Availability
i. BrikkShare will use reasonable endeavours to make the Platform available at all times. However, the Platform may be unavailable from time to time due to scheduled maintenance, system upgrades, or circumstances beyond BrikkShare's control. BrikkShare is not liable for any loss or damage arising from Platform unavailability.
ii. BrikkShare reserves the right to modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice where practicable.
10. Intellectual Property
a) All intellectual property rights in and to the Platform including the website, mobile application, software, design, content, trademarks, logos, and documentation are owned by or licensed to BrikkShare. Nothing in these Terms grants you any ownership interest in BrikkShare's intellectual property.
b) You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal investment purposes in accordance with these Terms. You may not copy, reproduce, modify, distribute, or create derivative works from any content on the Platform without BrikkShare's prior written consent.
c) Any feedback, suggestions, or ideas you provide to BrikkShare in relation to the Platform may be used by BrikkShare freely and without compensation to you.
11. Account Suspension and Termination
a) Termination by You
You may close your account at any time by contacting support@brikkshare.com. Closure of your account does not affect any existing Investments, which will continue to be governed by the relevant Project Agreement until their natural conclusion or exit. You must withdraw any available Wallet balance before or at the time of account closure.
b) Suspension or Termination by BrikkShare
BrikkShare may suspend or terminate your account, with or without notice, in the following circumstances:
- i. You have provided false, fraudulent, or misleading information
- ii. You have breached any provision of these Terms
- iii. BrikkShare is required to do so by law, court order, or regulatory authority
- iv. You have failed to complete or maintain satisfactory KYC verification
- v. BrikkShare has reasonable grounds to suspect money laundering, fraud, or other financial crime
- vi. Your account has been dormant for a period of 24 months and you have not responded to BrikkShare's notifications
c) Upon termination of your account, BrikkShare will return any available Wallet balance to your registered bank account within [10] Business Days, subject to deduction of any amounts owed to BrikkShare. Your existing Investments will be managed in accordance with the relevant Project Agreements. BrikkShare is not obliged to continue accepting new investments from a suspended or terminated account holder.
12. Complaints Procedure

b) BrikkShare will acknowledge receipt of your complaint within 2 Business Days. We aim to investigate and resolve all complaints within 15 Business Days of acknowledgment. Where a complaint is complex and cannot be resolved within that period, we will keep you informed of progress and provide a final response within 30 Business Days.
c) If you are not satisfied with our final response, you may refer your complaint to the relevant regulatory authority or seek resolution through arbitration as set out in clause 17.
13. Limitation of Liability
a) BrikkShare is not liable for any loss or damage arising from:
- i. A fall in the value of your Investment or failure to achieve projected returns
- ii. Developer default, construction delays, or failure to complete a property
- iii. Fluctuations in the Nigerian real estate market or general economic conditions
- iv. Force majeure events including natural disasters, acts of government, civil unrest, or pandemic
- v. Temporary unavailability of the Platform for maintenance or unforeseen technical reasons
- vi. Unauthorised access to your account where you have failed to maintain adequate security of your credentials
- vii. Any reliance you place on information provided on the Platform that is not independently verified
b) To the maximum extent permitted by Applicable Law, BrikkShare's aggregate liability to you in connection with any Investment or use of the Platform shall not exceed the total amount you have invested through the Platform in the 12 months preceding the event giving rise to the claim.
c) Nothing in these Terms excludes or limits BrikkShare's liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under Applicable Law.
14. Indemnity
a) You agree to indemnify and hold harmless BrikkShare, its directors, officers, employees, agents, and service providers from and against any claims, losses, damages, costs, penalties, fines, and expenses (including reasonable legal fees) arising from or in connection with:
- i. Your breach of these Terms
- ii. Your violation of any Applicable Law
- iii. Any information you provide that is false, misleading, or fraudulent
- iv. Any claim by a third party arising from your use of the Platform
15. Privacy and Data Protection
a) BrikkShare processes your personal data in accordance with our Privacy Policy, which is available on the Platform and forms part of the agreement between us. By accepting these Terms, you confirm that you have read the Privacy Policy and consent to the processing of your personal data as described therein.
b) BrikkShare complies with the Nigeria Data Protection Act 2023 and all applicable data protection legislation. For details of your data protection rights and how to exercise them, please refer to the Privacy Policy.
16. Amendments to These Terms
a) BrikkShare may amend these Terms from time to time. We will notify you of material changes by email and through a prominent notice on the Platform at least 14 days before the changes take effect. The updated Terms will be published on the Platform with a revised effective date.
b) Your continued use of the Platform after the effective date of any amended Terms constitutes your acceptance of the revised Terms. If you do not accept the amended Terms, you must stop using the Platform and notify us that you wish to close your account.
c) Amendments will not apply retrospectively to Investments already made, unless required by law or regulatory authority.
17. Dispute Resolution
a) Negotiation
If a dispute arises between you and BrikkShare in connection with these Terms or your use of the Platform, both parties agree to first attempt to resolve the dispute through good faith negotiation. Either party may initiate this process by giving written notice to the other describing the nature of the dispute and the resolution sought. The parties will engage in good faith discussions for a period of 30 days from the date of that notice.
b) Arbitration
If the dispute is not resolved by negotiation within the period specified in clause 17a, either party may refer the dispute to binding arbitration in accordance with the Arbitration and Conciliation Act 2023 (as amended). The arbitration shall be conducted by a sole arbitrator agreed upon by the parties, or failing agreement within 14 days, appointed by the Lagos Court of Arbitration. The seat of arbitration shall be Lagos, Nigeria. The language of the arbitration shall be English. The arbitral award shall be final and binding.
c) Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Subject to the arbitration provisions in clause 17b, the parties submit to the non-exclusive jurisdiction of the courts of Lagos State, Nigeria.
18. General Provisions
a) Entire Agreement
These Terms, together with the Privacy Policy, the relevant Project Agreement, and the Platform Fee Disclosure Schedule, constitute the entire agreement between you and BrikkShare in relation to your use of the Platform and supersede all prior representations, agreements, and understandings.
b) Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed from the remaining Terms, which shall continue in full force and effect.
c) Waiver
BrikkShare's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver is only effective if made in writing and signed by BrikkShare.
d) Assignment
You shall not assign, transfer, or sub-licence any of your rights or obligations under these Terms without BrikkShare's prior written consent. BrikkShare may assign its rights and obligations under these Terms to any successor entity without your consent, provided that you are notified of such assignment.
e) Force Majeure
BrikkShare will not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, acts of government or regulatory authority, civil unrest, war, cyberattacks, pandemic, or power or infrastructure failures. BrikkShare will notify you of any such circumstances and take reasonable steps to minimise the impact.
f) Third Party Rights
No person who is not a party to these Terms shall have any right to enforce any provision of these Terms.
